05.03.2021. Changes in public offers for concluding securities account servicing agreements

The depository institution PUMB JSC announces the approval of new versions of agreements on servicing the securities account. The agreements are brought in line with the legislative changes, in particular the changes to the NSSMC Decision of 06.08.2013 №1412 "Requirements to the agreement on servicing the securities account".

09.06.2020. Changes in public offers for concluding securities account servicing agreements

The depository institution PUMB JSC announces the approval of new versions of agreements on servicing the securities account. Contracts are brought in line with legislative amendments, in particular, Art. 12 of the Law of Ukraine “On Financial Services and State Regulation of Financial Services Markets” and the requirements of the Decision of the National Commission for the Securities Market No. 144 of 03/31/2020. “On Amending Certain Normative Legal Acts of the National Commission on Securities and Stock Market on the Interaction of Participants in the Depository System of Ukraine”.

The depository institution FUIB reports about the approval of the new version of the agreement on servicing the securities account.      The major changes:

• The size of the advance payment is increased in the absence of a current account or in the absence of funds in the current account opened in FUIB (clause 5.1.6)
• Modified conditions of clause 6,4 in case of delay in payment of depository services.

     The major changes:

• The size of the advance payment is increased in the absence of a current account or in the absence of funds in the current account opened in FUIB (clause 5.1.10, 5.2.1)
• Modified conditions of clause 6,4 in case of delay in payment of depository services.
• The procedure for payment of funds according to the results of the issuer's corporate operations carried out is described in more detail (paragraphs 10.6-10.9)

05.10.2018. For the attention of individual-depositors.

PUMB depository institution reports about the changes in tariffs for depository services to individuals from 05.10.2018.

For individual-depositors, who have entered into an agreement on servicing a securities account on 05.10.2018, the tariffs come into effect from 05.11.2018.

The major changes:

• added the ability of package service of the account in securities;
• a distinction has been introduced between servicing segregated and other accounts;
• the reduced cost of the service for the payment of income on securities by introducing an upper limit.

18.09.2018. Attention of Depositors

            JSC "PUMB" depository institution changes the basic tariffs for depositary services.

            One of the main changes is the division of services for segregated and other accounts, as this year the new software of the NBU provides such an opportunity.

            A segregated account allows to:

• register the account at the level of the NBU Depository;
• carry out operations of buying/selling BDGL with the usage of an individual clearing account opened at the Settlement Center;
• generate statements in automatic mode;
• carry out a double control over the balances of securities both at the depositary institution level and at the level of the NBU Depository.

Today, statements are generated manually by employees of Depositary Activity Department for BDGLs, which are not serviced by segregated accounts. Therefore, in new tariffs for PUMB depository services is provided that the maintenance of such an account will cost an additional 100.00 UAH per month.

            To minimize the costs of maintaining the securities account and operational risks, we recommend to all Participants, open a segregated account for servicing government securities at the level of the NBU Depository.

05.09.2018. Attention of Depositors.

For depositors-legal entities, who have entered into an agreement for servicing a securities account on 05.09.2018, the tariffs come into effect from 05.10.2018.

The main changes:

• possibility of package maintenance of the securities account is added;
• separation of services for segregated and other accounts is introduced;
• cost of the service for payment of income from securities by entering the upper boundary has been reduced.

13.07.2017:

Dear issuers and owners of the shares!

By this letter we inform you of the entry into force on June 3, 2017 of the Law "On amendments to certain legislative acts of Ukraine concerning the enhancement of the level of corporate governance in Joint-Stock Companies" dated 23.03.2017 №1983-VIII.

The law №1983-VIII allows the majority shareholders to buy out the parts of the minority shareholders. This, in turn, will simplify the regulator operation mode, shorten the distribution of notifications to shareholders in the future, will allow reducing expenses in the administrative activities of the company, accelerating the decision-making, regarding the management of the company and entail a number of opportunities for changing the organizational and legal form of management.

1.  This law introduces such concepts:

• The dominant controlling block of shares – a block of 95 or more percent of common shares in JSC
•  A significant controlling block of shares – a block of 75 or more percent of common shares in JSC
• The controlling block of shares – a block of 50 or more percent of ordinary shares in JSC

2.  The mandatory sale process (squeeze-out mechanism) of common shares by the shareholders at the request of a person (persons, acting in concert) who owns the dominant controlling block of shares.

As well as mandatory acquisition of shares (sell-out mechanism) by a person who owns the dominant controlling block of shares in JSC, at the request of shareholders.

3.  The concept of a conditional storage account has been introduced – an escrow account, as a tool for securing settlements between majority and minority shareholders.

The Regulator on compliance with the requirements of the Law performs the National Commission for Securities and Stock Market and exercises control over the fulfillment by market participants of the requirements, established by the Law.

01.05.2017. Attention of Bailors
        In connection with the entry into force on the 1st of May 2017 of new tariffs of the Central depository for depository servicing of depository institutions, the Depository Institution FUIB informs about the change of tariffs for depositary service of legal entities (residents and non-residents)
from 01.05.2017.
        The new version of tariffs is posted on the official website in the section «Depository services on account in securities».
        In addition, we inform that for Bailors-legal entities who have concluded an agreement on servicing the securities account before 01.05.2017, the tariffs come into force from 01.06.2017.

03.31.2017. Attention depositors.
Depository institution FUIB announces changes in tariffs for depository servicing individuals from 01.04.2017 year.
For depositors individuals that have concluded an agreement on maintenance of the securities account to 04/01/2017, the tariffs come into effect from 05.01.2017 year.

26.01.2017 Changes to the contract on servicing securities accounts for individuals

Depository institution FUIB approved a new wording of the agreement on securities accounts for individuals (residents and nonresidents). The public offer to conclude the agreement on securities accounts for individuals (residents and nonresidents) posted on the official website of JSC "FUIB" in "Depository services".

Major changes:

• p.10.8. set out the procedure and terms of payment of income on securities depositor if the amount of revenues less cost of depository operations - transfer of funds (repayment and / or income on securities).

04.10.2016 For attention of clients-issuers (joint stock companies).
First Ukrainian International Bank as a depository institution is interested in implementation by joint-stock companies their obligations on payment of dividends to shareholders. Concerning this, we consider it expedient to report the following.

To receive the dividends with help of FUIB:
1. Open the card (current) account in FUIB.
2. Sign a contract about servicing the securities account at any department of FUIB.
3. Keep up to date, personal details and details of the card (current) account by providing timely amendments in the application form of a securities account.

We draw Your attention to the need, on the part of the Issuer to inform the shareholders about these procedures and conditions of dividend payment.. 

If a shareholder does not fulfill the conditions of the paragraph 2, the value of the services of the depositary institution about the transfer of funds to the shareholder pays the Issuer according to the applicable tariffs.

The cost of basic depository services for the shareholder is: а) amendments in the application form of securities accounts - 100,00 UAH; б) execution of documents for servicing securities accounts (for a single operation) - 80,00 UAH; в) transfer of funds (repayment and/or income on securities) - 0.02% of the funds amount, but not less than 50.00 UAH and no more than 500,00 UAH.

03.10.2016. Amendments to the contract on servicing securities accounts holders.
For execution of NCSSMF solution from 07.06.2016 №637 «On Approval of Amendments to the Regulations on the procedure to ensure the existence of nominal securities in the book-entry form", the depository institution FUIB approved a new version of the Agreement on servicing securities accounts of the holders. Public offer to conclude a contract on servicing securities accounts of the holders was placed on the official website of JSC "FUIB" in the section "Depositary maintenance services on the accounts at Central Bank.".

Major amendments:
1. p.4.1.7. prescribed the action of the depository institution, if a holder has a securities account at another depository institution.
2. p.7.5.-7.7. described the procedure and conditions for the dividend payment to the holders of securities.
3. in a separate section (paragraph 10) is described the procedure for termination of the contract.

15.08.2016 Amendments to the contract on servicing the securities account.
In connection with the amendments of 01.07.2016 in the requirements for the contract about servicing the securities accounts, confirmed by the decision of NCSSMF from 06.08.2014, №1412, and the depository institution FUIB reports about the approval of the new version of the agreement on servicing the securities account. Public offer to conclude a contract on servicing securities accounts of the holders was placed on the official website of JSC "FUIB" in the section "Depositary maintenance services on the accounts at Central Bank."

According to the amendments:

1.p.4.11 was excluded as to obligations of the depository institution on providing the Central Depository information, necessary for execution of settlements on transactions under securities in compliance with the principle of "provision of securities against the payment" for the purpose of providing such information to the Settlement Centre.

This paragraph is not required for inclusion in the terms of the contract.

2.p.4.12 was excluded as to obligations depository institutions to perform the depository operations under securities of the depositor, which are reserved for the fulfillment of settlements on transactions under securities in compliance with the principle of "provision of securities against the payment", solely on the basis of orders and/or messages of the Central Depository, provided by depository institutions according to the information received by the Central Depository from the Settlement Center or clearing agency.

This paragraph is not required for inclusion in the terms of the contract.

3. p.4.1.13. Amendments regarding the notice period of the depositor about the beginning of activity termination procedure by the depository institutions under decision of NCSSMF from 30.06.2015, №914.

Decision of the National Commission on Securities and Stock Market (hereinafter - the Commission) from 24.07.2015 №1085 the Depository institution is granted the right to refuse the depositor in carrying out depositary operations and provision of services in case of making the necessary changes in the agreement on opening an account in securities, concluded before the entry into force of the Law of Ukraine "About Depository System of Ukraine" and the Commission's decisions from 06.08.2013 №1412, 24.06.2014 №807, by 24.07.2015 №1085.

In order to bring the contractual relationship in accordance with the specified standards of legislation, You need to bring agreements in accordance with the decisions of the Commission and standard form of the agreement on servicing the account in securities by signing the application for accession of Depositor to the Agreement on servicing of the account in securities.

12.10.2013 Came into force the Law of Ukraine № 5178 - VI from 06.07.2012, "On the Depository System of Ukraine" (hereinafter - the Law). In this regard, we have changed the basic tariffs of the Depository Institution FUIB without increasing their cost and areas of application.

According to the Law, JSC "FUIB" has received the license of the National Commission on Securities and Stock Market for professional activity in the stock market: depositary activity of depository institution.

The Depository Institution JSC "FUIB" has to provide the Agreement on opening the securities account in accordance with Decision of NCSSMF from 08.06.2013, № 1412  "On Approval of the Requirements for the contract about servicing the securities account."

Draw Your attention that for execution of settlements on securities transactions in compliance with the principle of "provision of securities against the payment". The Agreement on servicing the securities account has to be signed before carrying out the depository operations.

10.10.2013 In accordance with the Law of Ukraine "About Depository System of Ukraine" complete the transfer of issues of Central Bank Depositors of PJSC "Financial settlements center" (the previous name of PJSC "AUSD") for storing in the Central Depository of PJSC "NDU". The custodian FUIB, according to the schedule approved by NCSSMF, as of 10.10.2013, completes the support of this process on 509 issues of Central Bank.

Information on the issue of the securities transferred by PJSC "Financial settlements center" to the Central Depository of PJSC "NDU" is attached.

The list of issues of securities, which were not transferred by JSC "Financial settlements center" to the Central Depository of JSC "NDU".

28.08.2013 On the basis of the Law of Ukraine "About Depository System of Ukraine" there is a transfer of global certificates of the Central Bank Issuers from PJSC "Financial settlements center" (previous name CJSC "AUSD") for storing at Central Depository JSC "NDU".

The custodian FUIB, according to the schedule, approved by NCSSMF, as of 28.08.2013, carried out the operations on transferring global certificates of Central Bank Issuers from PJSC "Financial settlements center" to Central Depository JSC "NDU" on 359 securities issues. As early as in October 2013 the Clients of the Custodian JSC "First Ukrainian International Bank" will be able to get an extract from a single account at Central Bank opened at a depository complex of Central Depository JSC "NDU".

23.05.2013 The Custodian PUBLIC JOINT STOCK COMPANY "FIRST UKRAINIAN INTERNATIONAL BANK" which has a license of SCSSM for professional activity at the stock market: the depository activity of securities custodian series AB № 493255 from 21.10.2009 reports on changes in the tariffs for depository services. For the clients who have a valid contract on opening an account in securities, we inform that the new tariffs will come into force from 01.07.2013.
